Terms of service

Working draft. These terms are operative from the date above and govern your use of the service today. We continue to refine wording with legal counsel and may update these terms from time to time as described in section 21. Material changes will be notified to account holders by email.
1. About these terms
These terms of service (Terms) form a binding agreement between you and Deal Vet Pty Ltd (DealVet, we, us, or our) and govern your access to and use of the DealVet website, applications, reports, chat features, and related services (collectively, the Service). By creating an account, purchasing credits, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Definitions
Report means a due-diligence document generated by the Service in respect of a property. Government Data means data published by Australian Commonwealth, State, Territory, or local government bodies and used under open licence. User Content means listing URLs, contracts, documents, prompts, and any other material you submit to the Service. Credits means the prepaid units of access used to generate Reports or run chat queries.
3. The Service
DealVet generates due-diligence Reports for Australian residential and commercial properties using Government Data, publicly available records, and information you provide. Reports cite their sources and link back to underlying records. The Service may include in-Report search and chat features that allow you to ask questions about the Report contents. The Service is provided for informational purposes only and is not a substitute for inspection, professional advice, or independent verification.
4. Your account and eligibility
You must be at least 18 years old and capable of forming a binding contract under Australian law to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. You must notify us promptly at security@dealvet.com.au if you suspect unauthorised access. You may not share your account, and we may suspend accounts that appear to be shared or used in breach of these Terms.
5. Fees and credits
Pricing for Reports, Credits, and subscriptions is displayed on the pricing page and at checkout. All amounts are in Australian dollars and inclusive of GST unless stated otherwise. Pay-as-you-go Credits do not expire. Subscription tiers renew on the cycle you select (monthly or annual) until cancelled, and cancellation takes effect at the end of the then-current billing period.
Reports and Credits are non-refundable once purchased. This does not limit any non-excludable rights you have under the Australian Consumer Law. If you believe you have a non-excludable consumer guarantee claim, contact hello@dealvet.com.au.
6. Acceptable use
You must not, and must not permit any other person to:
- use the Service in breach of any law, regulation, or third-party right;
- scrape, harvest, or extract data from the Service by automated means other than ordinary browsing or use of any documented API;
- resell, sublicense, or redistribute Reports in bulk, or repackage Reports into a competing product or data feed;
- attempt to reverse engineer, decompile, or derive the source of the Service or its underlying models;
- introduce malware, attempt unauthorised access, interfere with the security or integrity of the Service, or probe it for vulnerabilities outside a coordinated disclosure programme;
- misrepresent the source, accuracy, or completeness of a Report when sharing it; or
- use the Service to generate Reports about properties you do not have a legitimate purpose to investigate, in breach of any privacy or anti-discrimination law.
7. User Content and pasted listing URLs
You retain ownership of User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display User Content for the purpose of operating and improving the Service, and to retain encrypted copies of contract documents you upload for as long as your account is active or as required by law. You warrant that you have the right to submit any User Content, that submitting it does not breach any third-party right, and that any pasted listing URL you provide is lawful for us to access and parse for OG tags and JSON-LD metadata.
8. Data sources and accuracy
Reports are built from Government Data and other public sources. Government Data is presented as published by the relevant authority and may contain errors, omissions, lag between recording and publication, or coverage gaps. We do not independently verify Government Data and we do not warrant its accuracy, completeness, or currency. Every claim in a Report cites its source so you can verify it directly. For any material decision, you should verify cited sources, inspect the property, and obtain advice from licensed professionals.
9. No professional advice
Reports and chat responses are general in nature and are not legal, financial, taxation, valuation, conveyancing, or property-investment advice. We are not a licensed real estate agent, financial adviser, valuer, mortgage broker, or law practice. Nothing in a Report or chat response constitutes a recommendation to buy, sell, lease, finance, or otherwise transact in any property. You are solely responsible for your decisions and for engaging suitably qualified and licensed professionals.
10. Intellectual property
We and our licensors own all intellectual property rights in the Service, including the DealVet brand, software, models, prompts, prompt-cache configurations, Report templates, scoring methodology, and underlying technology. No rights are granted to you except as expressly set out in these Terms. The Government Data presented in Reports remains subject to the open licence of its publishing authority, which is cited in the Report.
11. Licence to use Reports
Subject to your compliance with these Terms and payment of applicable fees, we grant you a worldwide, non-exclusive, non-transferable, revocable licence to use Reports you have generated:
- for your own due-diligence purposes;
- within your organisation, where the account is held by an organisation; and
- to share with your professional advisers and counterparties in connection with the transaction the Report relates to.
Any other use, including bulk redistribution, syndication, or commercial republication, requires our prior written consent.
12. Third-party services and integrations
The Service relies on third-party providers including hosting, email delivery, payment processing, analytics, and certain data and language-model APIs. These providers operate under their own terms and privacy policies. We select providers with care but are not responsible for outages, errors, or acts of third-party providers beyond our reasonable control, and your use of any third-party service through links in Reports is at your own risk and subject to that third party's terms.
13. Service availability
We aim to keep the Service available but do not guarantee uninterrupted availability. We may suspend access for maintenance, security, or operational reasons, and we will use reasonable efforts to give advance notice of planned downtime where practical. Beta or preview features are clearly labelled and provided as-is, without any service-level commitment.
14. Consumer guarantees and Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot be lawfully excluded or limited. To the maximum extent permitted by law, our liability for breach of a consumer guarantee that can be limited is limited, at our option, to resupplying the affected Service or refunding the fees paid for it.
15. Disclaimers
Subject to section 14, the Service and all Reports are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all representations, warranties, and conditions not expressly set out in these Terms, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted operation. Without limiting the above, we do not warrant that the information in a Report is current at the moment you read it, that Government Data is free of error, or that a Report will identify every matter relevant to a property.
16. Limitation of liability
Subject to section 14, to the maximum extent permitted by law:
- neither party is liable to the other for any indirect, consequential, special, incidental, punitive, or exemplary loss, or for any loss of profits, revenue, business opportunity, goodwill, anticipated savings, or data, however arising and even if advised of the possibility of such loss;
- our total aggregate liability to you arising out of or in connection with the Service or these Terms, whether in contract, tort (including negligence), under statute, or otherwise, is capped at the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim, or AUD $100, whichever is greater; and
- we are not liable for any decision you make on the basis of a Report or chat response, including any decision to buy, not buy, finance, refrain from financing, sell, or hold a property.
17. Indemnity
You will indemnify and hold harmless Deal Vet Pty Ltd, its officers, employees, and contractors from and against any loss, damage, cost, or expense (including reasonable legal costs) arising from or in connection with: (a) your breach of these Terms; (b) your User Content or your submission of any listing URL or document you did not have the right to submit; (c) your use of a Report in a manner inconsistent with these Terms; or (d) any claim by a third party arising from your acts or omissions, except to the extent caused by our negligence or wilful misconduct.
18. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). The Privacy Policy is incorporated into these Terms by reference. By using the Service you confirm that you have read and accept the Privacy Policy.
19. Confidentiality
Each party may receive information that is confidential to the other. Each party agrees to use confidential information only for the purposes of these Terms, to protect it with at least the same degree of care it uses for its own confidential information, and not to disclose it except to personnel and advisers who need to know and are bound by equivalent obligations. This clause does not apply to information that is public, was already known, is independently developed, or is required to be disclosed by law.
20. Suspension and termination
You may close your account at any time from your account settings. We may suspend or terminate your access to the Service immediately if we reasonably believe you have materially breached these Terms, if we are required to do so by law, or if continued provision of the Service would expose us to material risk. On termination, your right to access Reports may end. We will provide a reasonable opportunity to export your data unless prohibited by law. Sections that by their nature should survive termination will do so.
21. Changes to the Service and these Terms
We may modify or discontinue features of the Service from time to time. We may also update these Terms by posting an updated version with a new "last updated" date. For material changes that affect your rights, we will give at least 14 days' notice by email to the address on your account or by a prominent in-product notice. If you do not accept a material change, you may close your account before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
22. Dispute resolution
If a dispute arises out of or in connection with these Terms, the parties will first attempt in good faith to resolve it by discussion. A party must give written notice describing the dispute, and the parties will attempt to resolve it within 21 days of that notice. If the dispute is not resolved in that period, either party may commence proceedings. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief.
23. Force majeure
Neither party is liable for any failure or delay in performing its obligations under these Terms (other than an obligation to pay money) caused by an event beyond its reasonable control, including acts of God, fire, flood, storm, pandemic, war, civil unrest, government action, failure of the public internet, failure of upstream data providers, or failure of third-party infrastructure.
24. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, on notice to you, including in connection with a merger, acquisition, or sale of substantially all of our assets.
25. Severability and waiver
If any provision of these Terms is held to be unenforceable, it will be read down or severed to the minimum extent necessary, and the remaining provisions will continue in full force. A failure or delay by either party in exercising any right under these Terms is not a waiver of that right.
26. Entire agreement
These Terms, together with the Privacy Policy and any order confirmation or pricing page in force at the time of purchase, constitute the entire agreement between you and us in respect of the Service and supersede any prior representations, agreements, or understandings.

Notices to you may be given by email to the address on your account or by in-product notice. Notices to us must be sent to hello@dealvet.com.au.
28. Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from them, except where a non-excludable consumer right gives you the option of another forum.
